Mis riske ja ohte võib endas kätkeda pangaväliste finantsteenuse kasutamine? Kas ohtude ja riskide realiseerumisel saab abi politseilt?
1. PPA tegi 14.10.2020 suures rahapesuga seotud kriminaalasjas algselt kannatanuks tunnistatud ja üle kuulatud isiku suhtes menetlusest kõrvaldamise määruse. Mis määrus see on ja kuidas seda vaidlustada?
2. Kas politsei poolt kannatanuks tunnistatud isiku menetlusest kõrvaldamine on mõistetav (põhjendatud). Kas see on tavapärane?
3. Kas ja kui palju prokuratuur ja politsei saavad, tahavad ja suudavad tegelda finantskuritegevuse ja/või majanduskuritegevusega, mis on laiaulatuslik ja omab rahvusvahelist mõõdet?
4. Kas Eesti Vabariigi Finantsinspektsiooni poolt finantsteenuseid osutavale ettevõttele antud tegevusluba ka tegelikkuses finantsteenust tarbivale isikule midagi tagab?
5. Kuidas peaksid hakkama saama e-residendid sellises olukorras?
Selles postituses proovime leida vastuseid nendele küsimustele.
PS! Kuna tegemist on aktiivse menetlusega, siis esialgu on võimalik kajastada andmeid vaid teatud ulatuses!
Kriminaalasjas nr xxxxxxxxxxx on AS-le Good Finance Company (edaspidi GFC) esitatud kahtlustus omastamise katses suures ulatuses ning rahapesus suures ulatuses ja grupi poolt.
12.12.2019 ilmus uudis, et Keskkriminaalpolitsei pidas rahapesukahtlusega kinni kolm GFC töötajat, kellest kaks
Harju Maakohus vahistas. Loe lähemalt siit.
Uudises on viidatud mh järgmist: Keskkriminaalpolitsei majanduskuritegude büroo juht Leho Laur on esinenud avaldusega ja viidates, et eelmisel aastal majanduskuritegude büroosse loodud finantskuritegude grupi töö on hea näide sellest, kuidas finantsvaldkonda tundvad ja „valgekraeliste“ kuritegevusele spetsialiseerunud ametnikud suudavad keerulised ja rahvusvahelise mõõtmega kuriteod avastada juba algusjärgus ning nende toimepanemise kiiresti lõpetada.
Finantskuritegude uurimise mõttes tundub kõigiti hea algus, aga kas kahtlustuse esitamine ja isikute „suure käraga“ kinnipidamine tagab tulemuse ja kaitse ka ettevõtjatele, kes on muutunud taoliste väidetavate kurjategijate tegevuse tõttu kannatanuks!
GFC tegutses Eesti Vabariigi Finantsinspektsiooni tegevusloa alusel. Just seetõttu ka ettevõtjad seda finantsasutust usaldasid ja kasutasid finantsasutuse teenuseid! Ettevõttel võeti tegevusluba ära 27.05.2019.
01.06.2020 kuulutati välja GFC pankrot.
Kui vaadata ettevõtte avalikke andmeid, siis nähtub, et GFC on vahetult enne Finantsinspektsiooni poolt vastava tegevuslitsentsi äravõtmist 11.04.2019 asunud aktiivselt oma aktsiakapitali vähendama.
Pool aastat (s.o 07.01.2020) peale Finantsinspektsiooni poolt loa ära võtmist asus GFC tegema likvideerimistoiminguid!
Kuigi GFC pankrot kuulutati välja 01.06.2020, siis on pankrotihalduri poolt kohtule ja võlausaldajatele esitatud aruandest näha, et võlausaldajad on esimese üldkoosoleku toimumise ajaks esitanud nõudeid ca. 10 miljoni euro ulatuses. Raha tegeliku säilimise/olemasolu kohta andmeid napib, kuna haldurile ei ole andmeid esitatud. Üldkoosolekul käis arutelu 7,8 miljoni euro „kuskil kontodel “ olemasolu kohta, aga kas tegelikkuses see raha ka kuskil on, ei olnud tolleks hetkeks võimalik täpsemalt ütelda.
24.01.2020 kuulati GFC-ga seotud kriminaalasjas keskkriminaalpolitsei poolt üle XXX OÜ. Antud ettevõttele omistati kannatanu staatus, sest kannatanu poolt kasutatud kontolt (mis kuulub GFC-le kui makseteenuse osutajale) oli „kadunud“ väga suur summa. Ettevõtte jaoks on tegemist ülimalt suure kahjuga!
14.10.2020 koostas Politsei- ja Piirivalveameti keskkriminaalpolitsei majanduskuritegude büroo eriasjade uurija Kadri Kadak XXX OÜ kui kannatanu menetlusest kõrvaldamise määruse, leides:
1. Kriminaalmenetluse käigus kogutud tõendite pinnalt ei ole võimalik tuvastada, milliste konkreetsete GFC makseklientide ja konkreetsed summad on BIB-is avatud maksekontol;
2. XXX OÜ rahalised vahendid kui liigitunnuseta eseme hoiustamise kohustus oli GFC-l, samas ei ole võimalik käesoleval hetkel kriminaalmenetluse käigus eristada, kas GFC volitatud isikud on kandnud just XXX OÜ rahalised vahendid BIB-is avatud maksekontole;
3. Arvestades asjaolu, et GFC-l on ka teistes krediidi- ja makseasutustes kontod ei ole võimalik välistada, et XXX OÜ rahalised vahendid on mõnel teisel kontol;
4. Käesoleval hetkel ei ole võimalik välja tuua, et just XXX OÜ vara on omastatud, seega ei saa XXX OÜ olla politsei arvates enam kannatanu;
5. XXX OÜ on esitanud nõude GFC pankrotimenetlusse, seega äriühingu õigused on politsei arvates kaitstud pankrotimenetluse raames.
Taolist määrust on uskumatu lugeda! XXX OÜ vaidlustab selle 14.10.2020 määruse ja palub selle tühistada, sest Riigikohtu praktika kohaselt ei ole kannatanuks üksnes see isik, kes on kuriteo tagajärjel mingit kahju kandnud, st kannatanu staatus ei eelda tegelikult üldse mingit kahju tekkimist (nt kuriteokatse puhul sageli veel mingit kahju ei teki), vaid kannatanu mõiste peab olema avatud üldisemalt – kannatanuks peaks olema iga isik, kelle individuaalõigushüve on õigusvastase teoga riivatud või rünnatud.
Politsei kirjutab 14.10.2020 määruses:„Käesoleval hetkel ei ole võimalik välja tuua, et just XXX OÜ vara on omastatud“.
Olemasolevate andmete põhjal peab politsei GFC tegevuse ja rahade liikumise ning makseteenuste osutamise ulatuse, sh võimalike kontode, sh korrespondentkontode kasutamise alles selgeks tegema! Seda ei ole võimalik selgeks teha tavalisel eraettevõttel, kes kasutas Finantsinspektsiooni poolt antud tegevusloa alusel tegutseva ja makseteenuseid osutava firma GFC teenuseid ja kelle rahalised vahendid „kadunud“ s.t. ta on kahju kannatanu.
Nagu 14.10.2020 määrusest nähtub, siis politsei menetleja on kursis GFC osas toimuva pankrotimenetlusega. Sellest omakorda on järeldatav, et menetleja on kursis ja ta on tutvunud GFC pankrotimenetluses koostatud PankrS § 127 alusel koostatud pankrotihalduri ettekandega, kus on mh välja toodud järgmine lõik : „Haldurile ei ole esitatud (GFC) nõuete aluseks olevaid dokumente (GFC likvideerija selgitusel on aktsiaseltsi dokumentatsioon Keskkriminaalpolitsei ja/või prokuratuuri valduses) mistõttu ei ole halduril olnud võimalik anda hinnangut nõuete sissenõutavusele. Haldur on ka leidnud, et maksejõuetuse põhjusteks võib olla nii kuriteotunnustega tegu ja/või raske juhtimisviga“.
KarS kommenteeritud väljaandes (lk 535, punkt 10.2.) on öeldud, et usaldatud vara enda kasuks pööramisega on tegemist nt. firma kontol oleva raha oma arvele kandmise, sellega arve maksmise vms. korral, sest pangakontol olev raha on vaadeldav võõra vara, mitte asjana. GFC likvideerija poolt GFC pankrotimenetluses pankrotihaldurile antud seletustest nähtub, et pangakontodel olev raha, summas 11 508 974,13 eurot on võlgniku kui makseasutuse klientide raha (ajutise halduri aruande lk 3). Ehk ka GFC ise väidab/kinnitab, et GFC kaudu hoiustatud varad kuuluvad GFC klientidele ja need tuleb tagastada klientidele.
Kurb tõsiasi on aga selles, et politsei ei ole sealjuures analüüsinud makseasutuste- ja e-raha asutuste seadust (MERAS). Kuna GFC-lt võeti 27.05.2019 tegevusluba ära, siis alates 27.05.2019 ei ole GFC enam makseasutus.
MERAS § 79 lg 2 ütleb, et makseteenuste osutamisega seoses makseasutusele usaldatud kliendi vara, samuti selle arvel omandatud vara, kuulub makseteenusega seotud kliendile ning seda ei arvata makseasutuse pankrotivara hulka ja selle arvelt ei rahuldata teiste võlausaldajate nõudeid.
Seega on menetleja viide kriminaalmenetluses kannatanu staatust omava isiku kaitsele ainult läbi pankrotimenetluse ilmselgelt ebaõige.
Lisaks on menetleja vastavasisuline seisukoht vastuolus kehtiva Eesti Vabariigi Riigikohtu praktikaga. Nimelt juunis 2020 tehtud lahendis nr 1-19-9575/46 on leitud, et mis tahes kuriteos kannatanul on sageli võimalik esitada enda rikutud õiguste taastamiseks või rikkumise heastamiseks kriminaalmenetluses tsiviilhagi, kuid see ei võta ära kriminaalmenetluses kannatanu staatust. Politsei väitel peaks kannatanuks olev ettevõte ise asuma tegelema selle raha ülesotsimise, „jälgede ajamise“, õigusliku olukorra selgitamisega, kuigi väga suurte summadega antud kriminaalasjas kannatanuks sattunud ettevõte ei oma ja ei saagi omada mingeid taolisi õiguslikke vahendeid, nagu seda on rahapesuga tegeleval Keskkriminaalpolitseil või Riigiprokuratuuril (vähemalt nii nad väidavad)!
Tänasel päeval on sarnased võlausaldajate rahast ilma jäämised Eesti Vabariigis muutunud juba tavapäraseks. Selleks, et ennast taolise tegevuse osas kaitsta, peavad ettevõtjad ise hakkama politsei ja prokuratuuriga vaidlema ning ilmselt ebaõigeid otsustusi vaidlustama. Mis on selleks põhjuseks? Kas tekkinud olukordades on süüdi ettevõtja ise või Finantsinspektsioon või finantsteenuseid osutav ettevõte? Kas Finantsinspektsiooni poolt tegevusloa äravõtmisega kaovad ära mh. finantsasutuse kohustused ja vastutus, mis ettevõttel oli teenuse osutamise ajal?
Pankrot ei tohiks/saaks olla vahend finantsasutuse juhatuse või sellega seotud isikute poolt oma klientide raha peitmise seadustamiseks, sest just pankroti kaudu lõpetatakse kogu ettevõtte tegevus ja lõpptulemusena ettevõte kustutatakse. Halduri võimalused tegeleda raha/varade otsimisega väljaspool Eestis on suhteliselt kitsad. Kui vaadata GFC pankrotimenetluses toimunud esimese üldkoosoleku protokolli, siis halduril ja võlausaldajatel puudusid raha olemasolu/asukohta kinnitavad/täpsustavad dokumendid, puudusid igasugused täpsemad andmed jne. Sellele vaatamata tegi üldkoosolek ikkagi ühehäälselt otsuse, et ettevõtte võimalikud tervendamise väljavaated puuduvad, ettevõte tuleb likvideerida! Kas olukorras kus tollel hetkel ettevõtte dokumendid puudusid, oli vaid info, et raha on kuskil siiski olemas, oli taoline otsus loogiline ja võlausaldajaid kaitsev?
Taoliste finantsasutuste tekkimise ning kogu antud teema iroonia seisneb aga selles, et olemuslikult toimub meil viimastel aastatel „tubli“ võitlus rahapesuga! Meil on Riigiprokuratuur ja majanduskuritegudele spetsialiseerunud politseiasutused, kes peaksid aktiivselt sellega tegelema. Samas on rahapesuga seotud õigusregulatsioon nii laialivalguv ja laiaulatuslik, et isegi riigikohtunik Juhan Sarvel on rahapesu normistiku piire raske piiritleda (vt. lähemalt siit).
Lisaks, selles kontekstis on äärmiselt kummaline, et meie elu ei reguleeri mitte seadusandja poolt selgelt kirjutatud või täiendatud seadused, vaid kohtupraktika tõlgendused, mis tehakse tavainimese või ettevõtja rahakoti najal. See isik kes satub n-ö seaduste tõlgendamise katseisikuks peab tihtipeale läbi käima pika ja kuluka kohtumenetluse. Kui seadused on ebaselged ja suur hulk olukordasid lahendatakse aastatepikkuse kohtumenetluse kaudu, siis on vägagi küsitav, kes taolistest lõpututest õiguse tõlgendustest ja kohtupraktika kujundamistest rohkem võidab. Kui ettevõtja kogu kasum läheb õiguspraktika kujundamisele, siis lüüakse pigem taolisele valikule käega ja meil jääb ettevõtjaid aina vähemaks!
Nagu eelviidatud Eesti Ekspressi artiklist nähtub, siis seadus ei pane pangatöötajatele rahapesureeglite rikkumisel erilist vastutust. Küll aga on pangad asunud viimastel aastatel aktiivselt ja teatud olukordasid üle võimendades piirama ja oma klientide hulgast välistama isikuid ja ettevõtteid kelle osas on väidetavad rahapesu või mistahes muud kahtlused!
Kuna paljuski on tegemist subjektiivse, hindamis- ja kaalutlusküsimisega, siis võtab pankades võimust praktika „parem karta kui kahetseda“, mitte pankade poolt avalikkusele deklareeritud lööklause „tunne oma klienti“. Isegi kui klient teeb kõik mida pank soovib, piltlikult öeldes koorib ennast panga ees paljaks, siis praktika näitab, et otsus kliendi minema ajamiseks on juba eelnevalt tehtud.
Kummaline, et pangad ei pea oma teguviisi klienti pangast n-ö väljaviskamisel isegi mitte põhistama ja Finantsinspektsioon kiidab takka. Pank lihtsalt ütleb lepingu üles ja soovitab kasutada mõnda teist krediidiasutust olles samas ise kõigi nende teiste Eesti Vabariigis asuvate krediidiasutustega ühises kokkuleppes, et persona non grata nimekirja sattunu ei saa jutule mitte üheski teises Eestis tegutsevas pangas!
Selle tulemusena on ka suhteliselt suured ettevõtted probleemi ees, et neil tegelikkuses ei olegi võimalik mitte ühegi Eesti krediidiasutuse kontot kasutada, sest pangad keelduvad ilma sisulise põhjendamiseta konto kasutuse jätkamisest või uue konto avamisest! Omaarvates tegutsevad need ettevõtted Eestis ausalt ja läbipaistvalt. Ka pankadel ega politseil pole ettevõtetele mitte ühtegi etteheidet aga samal ajal ei saa nad kasutada mitte ühegi krediidiasutuse arvelduskontot! Täielik absurd!
Eriti absurdne on veel see, et taolise persona non grata ettevõtte või ka antud juhul GFC kui endise finantsasutuse pankrotihaldur ei saa ja ei oma võimalust avada antud ettevõtte pankrotimenetluse läbiviimiseks arvelduskontot Eesti Vabariigis tegutsevas pangas, sest pangad lihtsalt keelduvad viidates, et see firma on kahtlane ja minge kuskile teise panka! Aga kuhu?
Pankade näol pole ju tegemist OÜ-ga Leivapood, mis müüb samuti eluliselt olulist kaupa (toitu), kuid mille asutamiseks ei ole vaja mingit erilist tegevusluba!
Olemuslikult piiratakse ja reguleeritakse riigi poolt pankade ranget tegvust just nimelt seetõttu, et pangad osutavad eluliselt olulist teenust ja peaksid Eestis elavatele või tegutsevatele isikutele tagama finantsteenuste kasutamise võimaluse, tagama nende finantsteenuste seaduslikkuse ning seejuures soodustama just nimelt pangakontode kasutust ning vähendama sularaha käivet!
Tegelikkus on selline, et nn. rahapesuvastane võitlus on osutunud aga hoopis vastupidiseks! Selle tulemusena koguvad üha enam hoogu krüptoraha platvormid ja erinevad internetipõhised makseteenused. Kui pankades hoiustatud rahad on suuresti kaitstud ja tehingud jälgitavad, siis taoliste uudsete makseasutuste puhul langetab riik – politsei käed (kui jama majas) ja ütleb, et vaadake ise, kuidas te oma raha kätte saate – küllap pankrotimenetluses saate oma õigusi kaitsta !
Nagu viitab GFC-d juhtinud Tiiu Järviste, nende ettevõtte käive hakkas kasvama pärast seda, kui mitu siinset panka kinni pandi. „Kuna meil on Mastercard, mida teistel makseasutustel ei ole, siis see oligi, miks just meie poole pöörduti,”…..! Seega, rahapesu vastane võitlus tekitab uut moodi rahapesu!
Kokkuvõttes:
– Meil on olemas riigi poolt rangelt kontrollitult tegutsevad finantsasutused-pangad, aga neid võid kasutada vaid juhul kui nad on nõus sinuga suhtlema! Kui pank ütleb, et sa pole neile sobiv, siis võid kindel olla, et sa ei sobi ka ühtegi teise Eestis tegutsevasse panka.
– Meil on Eestis olemas alternatiivsed makseteenuse osutajad nagu seda oli GFC, kellel on õigus tegutseda vaid Finantsinspektsiooni loa alusel. See luba aga ei tähenda mitte midagi! Kui Finantsinspektsioon võtab tegevusloa ära, siis üldjuhul oled oma rahadest ilma ja sellele järgnevas pankrotimenetluses vaatad üldkoosolekul pealt kuidas sind petnud firma sinu silmade all lihtsalt lõpetatakse/ kustutatakse.
– Meil on olemas finants- ja majanduskuritegudega tegelev Rahapesu andmebüroo (RAB) ja Keskkriminaalpolitsei. Nad tegutsevad prokuratuuri juhtimisel, aga nad ajavad „mingit oma asja“. Kui mõni ettevõtjatest, kes on finantsasutuste poolt paljaks varastatud, satub „kogemata“ politseisse pöörduma ja seal kannatanu staatusesse, siis on politseil väga lihtne see ettevõtja üheleheküljelise määrusega „välja visata“!
– Muidugi kavatseb ettevõtja vaielda ja jääb lootus, et prokuratuur või kohus siiski kannatanu staatuse taastab, kuid ilmselgelt on taoline RAB ja/või Keskkriminaalpolitsei tegevus – nn. kannatanu „väljaviskamine“ – kooskõlastatud prokuratuuriga!
– Olen kohanud paljusid taoliselt pankade poolt „välja visatud“ ettevõtjaid ja tavaliselt olen sellekohase õigusabi osutamise käigus leidnud mingi muu seadusliku lahenduse, kuid kas tõesti peab tavaliste pangateenuste kasutamiseks Eesti Vabariigis nuputama ja otsima igasuguseid kummalisi alternatiive. Kas tõesti ei ole võimalik elada normaalse ühiskonnana kus Eesti riik, pangad ja politsei ning prokuratuur tagavad Eestis tegutsevate ettevõtjate ja muudele isikutele mistahes finantsteenuste osutamise, omades sellejuures ju ka just läbi pangateenuste väga head ülevaadet nendest ettevõtjate poolt osutavatest finantsteenustest?

Today, I went to the beachfront with my kids. I found a sea shell and gave it to my 4 year old daughter and said “You can hear the ocean if you put this to your ear.” She put the shell to her ear and screamed.
